James A. Dressman III represents profit and non-profit entities and individuals in financial transactions, business mergers and asset acquisitions and sales, and real estate acquisitions and development. He provides guidance for entity structuring, reorganization, owner and employee buy/sell arrangements and management and owner successions, with respect to general business and tax matters.
Jim has successfully guided clients through a number of significant matters:
He represented the owners in the land acquisition, development and financing of the Kentucky Speedway motor sports complex and its subsequent sale to Speedway Motorsports Inc. in 2008.
He has handled various transactions in the healthcare industry including the acquisition by St. Elizabeth Healthcare of Patient First Physician Group in 2007, the merger of St. Elizabeth Healthcare and St. Luke Hospitals in 2009, and the merger of Patient First Physician Group and Summit Medical Group in 2009.
He has also guided clients in numerous transactions in other industries including the sale by the owners of Town and Country Sports Complex in 2007, the strategic purchase by an industrial valve sales and manufacturing company of an industrial valve servicing company in 2008, and the acquisition by a specialty paper company of a New England division in 2010.
He has also assisted several clients with restructuring of family owned businesses and succession planning.
Jim currently is on several planned giving and development committees for Thomas More College, the Roman Catholic Diocese of Covington and Saint Charles Care Center. He is a member of the Board of Advisors of the Northern Kentucky Chamber of Commerce, past president of Greenup Haus, Inc., a low income non-profit housing project, past president and board member of Senior Services of Northern Kentucky, a member of the Freestore Foodbank Foundation Board of Trustees, and is chair of the Kentucky Bar Association Audit Committee. He resides in Edgewood, Kentucky, with his wife.
